US private equity (PE) exits experienced a severe contraction in Q2 2026, falling roughly 46% quarter-over-quarter to $102.6 billion. Data from PitchBook’s Q2 2026 US PE Breakdown reveals a deeply divided market: while corporate and sponsor buyers remain strictly risk-off, a resurgent public market is offering a critical alternative route for liquidity.

The decline was heavily driven by a freeze in traditional M&A channels. Asset sales to corporate buyers, historically the largest exit pool, plummeted 63% to $38.5 billion, with deal counts dropping 21% to 107. Simultaneously, sponsor-to-sponsor secondary sales sank 57% to $24.5 billion. The quarterly count for sponsor-to-sponsor deals hit 94, marking its lowest level in at least a decade due to an ongoing valuation impasse on high-priced pandemic-era assets. To salvage deals, attorneys note a sharp rise in deferred purchase mechanisms like earnouts and seller notes.

With easy returns from cheap borrowing disappearing, PE managers face immense pressure to deliver returns within finite fund lives. This is driving a significant pivot toward initial public offerings (IPOs).

PE firms brought 12 US portfolio companies to the public markets in Q2, representing $27.6 billion in post-money valuation. This surge lifted IPOs to 31% of total US PE exit value, nearly tripling Q1’s market share. Though IPOs accounted for only 5% of the total deal count—indicating this route remains exclusive to the larger end of the market—public investors have shown a strong appetite for mature, well-governed firms, particularly in the artificial intelligence and defense sectors. Notable listings included Arcline-backed Arxis, which went public at a $10.2 billion valuation, and Blackstone’s LiftOff Mobile at $3.4 billion. Industry experts indicate that dual-track exit processes are increasingly favoring the public markets over direct sales.
